These Terms and Conditions govern your access to and use of SultanSelect.com and any services, marketplace features, products, or content offered through the website.

SultanSelect.com is a business-to-business wholesale marketplace operated by Midway Hub. By accessing the website, creating an account, submitting an order, applying as a vendor, or using any marketplace service, you agree to these Terms and Conditions.

Do not use the website if you do not agree to these terms.

1. Business-to-Business Marketplace

SultanSelect is intended primarily for qualified retailers, wholesalers, distributors, resellers, convenience stores, grocery stores, restaurants, smoke shops, and other business customers.

Products purchased through SultanSelect are generally offered for resale, commercial use, or business purposes and are not intended to be purchased as ordinary consumer retail transactions unless expressly stated otherwise.

2. Eligibility

To use SultanSelect, you must:

• Be at least 18 years old

• Have the legal authority to enter a binding agreement

• Provide accurate registration information

• Operate or represent a legitimate business when applying for wholesale access

• Comply with all applicable federal, state, and local laws

You may not create an account using false information or on behalf of another person or business without authorization.

3. Account Registration and Approval

Some website features, including wholesale pricing, may be available only to registered and approved users.

We may request:

• Business registration information

• Resale certificate

• Sales-tax permit

• Employer Identification Number

• Business address

• Store or website information

• Identification or other verification records

Submitting an application does not guarantee approval.

SultanSelect may approve, reject, limit, suspend, or terminate an account at its discretion when reasonably necessary to protect the marketplace, enforce these terms, manage risk, or comply with law.

4. Account Security

You are responsible for:

• Keeping your login credentials confidential

• Restricting access to your account

• Promptly reporting suspected unauthorized access

You are responsible for activity occurring through your account unless prohibited by applicable law.

5. Marketplace Structure

SultanSelect may offer products directly or allow approved third-party vendors to list and sell products.

When a third-party vendor sells an item:

• The vendor may be responsible for inventory, product information, fulfillment, and warranty obligations

• Shipping times and return conditions may vary by vendor

• Product availability may change without notice

• SultanSelect may facilitate communication, payment, and order administration

SultanSelect does not guarantee that every vendor, product description, price, inventory quantity, or delivery estimate will be error-free.

6. Product Information

We attempt to provide accurate product names, images, descriptions, specifications, quantities, and pricing. However:

• Images may differ slightly from delivered products

• Packaging may be updated by a manufacturer

• Colors and dimensions may vary

• Product information may be supplied by vendors or manufacturers

• Typographical and pricing errors may occur

SultanSelect may correct errors, update information, cancel affected orders, or request additional payment before shipment if an obvious pricing or listing error occurred.

7. Pricing

Wholesale prices may be visible only after account approval and sign-in.

Prices:

• Are listed in U.S. dollars unless otherwise stated

• May change without notice

• May vary by quantity, account, location, vendor, promotion, or negotiated agreement

• May exclude shipping, handling, taxes, duties, deposits, or regulatory fees

• Are not guaranteed until the order is accepted

Products placed in a cart are not reserved, and the displayed price may change before checkout.

8. Orders and Acceptance

Submitting an order is an offer to purchase. An automatic confirmation does not necessarily constitute final acceptance.

An order may be rejected, limited, held, or canceled because of:

• Product unavailability

• Pricing or listing errors

• Payment issues

• Fraud concerns

• Shipping restrictions

• Vendor limitations

• Minimum-order requirements

• Regulatory restrictions

• Account verification problems

A binding sale is generally formed when the order is accepted and prepared for shipment, unless otherwise stated.

9. Minimum Orders and Quantity Requirements

Products or vendors may impose:

• Minimum quantities

• Case-pack requirements

• Pallet requirements

• Vendor-specific minimums

• Geographic delivery minimums

These requirements may be shown on the product page, vendor page, cart, quotation, or order confirmation.

10. Payment

Available payment methods may include credit card, debit card, bank transfer, approved credit terms, or other methods displayed at checkout.

You authorize SultanSelect and its payment providers to charge the total amount due, including applicable taxes, shipping charges, and fees.

Orders purchased on approved credit terms must be paid by the due date. Late balances may result in:

• Suspension of ordering privileges

• Cancellation of credit terms

• Collection activity

• Recovery of reasonable collection costs where permitted

• Additional charges disclosed in the applicable credit agreement

11. Taxes and Resale Certificates

Customers are responsible for providing accurate tax-exemption or resale documentation.

If valid documentation is not accepted or available, applicable sales tax may be charged.

The customer is responsible for taxes, duties, assessments, deposits, and governmental charges associated with purchases, resale activities, or product use unless SultanSelect is legally required to collect them.

Providing an invalid, expired, false, or unauthorized resale certificate may result in account suspension and customer liability for unpaid taxes, penalties, or other costs.

12. Shipping and Delivery

Shipping and delivery are governed by the SultanSelect Shipping and Returns Policy and any vendor-specific terms displayed before purchase.

Delivery dates are estimates and are not guaranteed unless expressly agreed in writing.

Risk of loss and title may transfer according to the shipping method, applicable commercial terms, vendor terms, or written agreement associated with the order.

13. Inspection of Orders

Wholesale customers must inspect shipments promptly.

Visible damage, missing cartons, incorrect quantities, or other shipment problems should be noted on the carrier’s delivery receipt and reported within the time required by the Shipping and Returns Policy.

Failure to inspect or report a problem promptly may limit the ability to obtain a replacement, credit, refund, or freight claim.

14. Returns and Refunds

Returns require prior authorization unless otherwise stated.

Products may be nonreturnable because of:

• Food-safety requirements

• Health or sanitation restrictions

• Regulatory requirements

• Product condition

• Expiration sensitivity

• Manufacturer restrictions

• Clearance or final-sale status

• Vendor-specific policies

Approved refunds may exclude shipping charges, handling fees, payment-processing costs, restocking fees, and return freight unless the return resulted from an accepted error or verified defective shipment.

15. Product Restrictions and Compliance

Customers and vendors are responsible for determining whether a product may legally be sold, shipped, advertised, possessed, or used in their jurisdiction.

Certain products may be subject to:

• Licensing requirements

• Tax-stamp requirements

• Labeling rules

• Shipping limitations

• State or local sales restrictions

• Industry-specific regulations

SultanSelect may restrict or refuse transactions involving regulated products.

The customer is solely responsible for lawful resale and for verifying the age, licensing, and eligibility of its own customers.

16. Vendor Obligations

Approved vendors must:

• Provide accurate product and business information

• Maintain lawful ownership or authorization to sell listed products

• Keep inventory reasonably current

• Fulfill accepted orders promptly

• Use accurate shipping and tracking information

• Comply with applicable product-safety and labeling laws

• Honor stated return and warranty obligations

• Avoid counterfeit, stolen, unsafe, or prohibited products

• Maintain required licenses, permits, and insurance

• Protect customer information

• Pay applicable marketplace commissions and fees

Vendor access is subject to a separate vendor agreement, marketplace plan, or commission arrangement. Where there is a conflict, the written vendor agreement controls for vendor-specific matters.

17. Prohibited Conduct

Users may not:

• Violate any law or regulation

• Submit false or misleading information

• Commit fraud or payment abuse

• Interfere with website security

• Attempt unauthorized access

• Scrape, copy, or extract website data through automated means without permission

• Upload malicious code

• Infringe intellectual-property rights

• Sell counterfeit, stolen, recalled, unsafe, or prohibited goods

• Manipulate reviews, orders, prices, or marketplace activity

• Harass vendors, customers, employees, or other users

• Use the website for personal retail purchasing when wholesale eligibility has been falsely claimed

18. Intellectual Property

The SultanSelect name, website design, logos, graphics, text, software, databases, and original content are owned by or licensed to Midway Hub and are protected by applicable intellectual-property laws.

You may not reproduce, modify, distribute, sell, publish, or create derivative works from protected content without prior written authorization.

Vendors retain rights in content they lawfully own but grant SultanSelect a nonexclusive, worldwide, royalty-free license to display, reproduce, format, advertise, and distribute submitted product content for marketplace operation and promotion.

19. Reviews and Submitted Content

Content submitted to SultanSelect must be truthful, lawful, and relevant.

You may not submit content that:

• Is fraudulent or misleading

• Violates another person’s rights

• Contains confidential information

• Is defamatory or threatening

• Includes malware or harmful links

• Manipulates ratings or marketplace performance

We may remove submitted content that violates these terms.

20. Third-Party Services

The website may integrate with third-party payment processors, carriers, inventory systems, analytics services, or vendor websites.

SultanSelect is not responsible for third-party services outside its reasonable control. Your use of those services may be governed by separate terms.

21. Disclaimer of Warranties

To the fullest extent permitted by law, SultanSelect and its services are provided on an “as is” and “as available” basis.

We do not guarantee:

• Uninterrupted website access

• Error-free product information

• Continuous product availability

• Specific sales results

• Vendor performance

• Delivery by a particular date

• Suitability of a product for a particular business purpose

Any product warranty is limited to the warranty provided by the applicable manufacturer, vendor, or written SultanSelect agreement.

22. Limitation of Liability

To the fullest extent permitted by law, Midway Hub, SultanSelect, their affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business, lost data, or business interruption.

To the fullest extent permitted by law, total liability arising from a specific transaction will not exceed the amount paid for the product or service giving rise to the claim.

Some jurisdictions do not permit certain limitations, so portions of this section may not apply.

23. Indemnification

You agree to defend, indemnify, and hold harmless Midway Hub, SultanSelect, their affiliates, employees, officers, contractors, and service providers from claims, damages, losses, liabilities, and reasonable costs arising from:

• Your violation of these terms

• Your unlawful resale or use of products

• Your account activity

• Your violation of another party’s rights

• False information or documentation you provide

• Products or content listed by you as a vendor

24. Suspension and Termination

SultanSelect may suspend or terminate access when reasonably necessary because of:

• Violation of these terms

• Fraud or security risk

• Nonpayment

• Repeated chargebacks

• Misuse of the marketplace

• Legal or regulatory concerns

• Harm to another user, vendor, or the marketplace

Outstanding payment and contractual obligations survive termination.

25. Governing Law

These Terms and Conditions are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Unless prohibited by applicable law or superseded by a separate written agreement, legal proceedings concerning these terms shall be brought in a court of competent jurisdiction located in Texas.

26. Changes to These Terms

We may update these Terms and Conditions periodically.

The updated version will be posted with a revised date. Continued use after the effective date of revised terms constitutes acceptance of those terms.

27. Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain effective.

28. Entire Agreement

These Terms and Conditions, together with the Privacy Policy, Shipping and Returns Policy, vendor agreements, credit agreements, and other policies displayed at checkout, form the agreement governing use of SultanSelect.
